Responsibilities

  • Undertaking a comprehensive range of corporate secretarial responsibilities, which include but are not limited to, incorporating companies, preparing resolutions regarding ongoing corporate secretarial matters, opening bank accounts, and changing signatories.
  • Managing all aspects of company secretarial work and to provide in-house secretarial services in managing and administering secretarial practices and corporate secretarial requirements in accordance with applicable rules and regulations.
  • Provide guidance/advice to the Boards/Management in matters of good governance and changes in legislation to ensure Board procedures are followed and applicable rules and regulations are complied with.
  • To oversee records management filing system/database for company secretarial matters.
  • Overseeing a group of clients and offering high-quality customer service by responding promptly to clients’ requests and inquiries
  • Draft and prepare resolutions, minutes, annual returns, statutory and related documents;
  • Ensure proper and timely lodgment/submission of statutory documents to relevant authorities in compliance to the Companies Act and other relevant laws;
  • Liaise with the Companies Commission of Malaysia (CCM), Lawyers, Auditors, and Stamping Office to ensure all documents prepared comply with the requirements;
  • Able to handle secretarial duties with minimum supervision;
  • Mentoring and guiding the junior team members to help them fulfill their responsibilities competently and proficiently

Requirements

  • At least 7 years of relevant working experience with Company Secretarial practices in corporate secretarial firms, legal firms or public listed companies
  • An Associate member of the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) with License granted by the Companies Commission of Malaysia (SSM) to act as named Secretary with secretarial license and practicing license
  • Possess full ICSA qualification
  • Conversant and well verse in Companies Act 2016, Malaysian Code of Corporate Governance, corporate governance practice and other relevant regulatory laws, regulations, and guidelines in connection with company secretarial matters
  • Exposure to SSM rules and regulations
  • Positive work attitude with strong initiatives, a team player and minimum supervision from the Management
  • Excellent command of English and Bahasa Malaysia, both verbal and written.
  • Must be able to speak fluently in Mandarin. Able to write Mandarin will be an added advantage.
  • Excellent client relationship skills and time management skills
  • Keep aware of the developments/changes of new and existing reporting and other requirements imposed by the statute under which the companies are incorporated
  • Computer proficiency in MS Office Applications and any corporate secretarial software
  • Tech-savvy with knowledge of Google Applications and mobile devices such as smartphones and tablets are added advantage;

  • 管理公司秘书工作的所有方面,并提供内部秘书服务,以管理和执行秘书实践和公司秘书要求,符合适用的规则和法规;
  • 向董事会/管理层提供治理方面的指导/建议,并就法规变化提供建议,以确保遵守董事会程序和适用的规则和法规;
  • 监督公司秘书事务的记录管理文件系统/数据库;
  • 监督一组客户,并通过及时回应客户的请求和询问,提供高质量的客户服务;
  • 起草和准备决议、会议记录、年度报告、法定文件和相关文件;
  • 确保适当及时地向相关机构提交法定文件,以符合《公司法》和其他相关法律的规定;
  • 与马来西亚公司委员会(CCM)、律师、审计师和盖章办公室联络,确保准备的所有文件符合要求;
  • 能够在最少的监督下处理秘书职责;
  • 指导和指导初级团队成员,帮助他们胜任和熟练地履行职责。

要求:

  • 至少7年在企业秘书公司、律师事务所或上市公司从事公司秘书工作的相关工作经验
  • 是马来西亚特许秘书与行政管理师协会(MAICSA)的会员,并获得由马来西亚公司委员会(SSM)授予的具备秘书执照和执业许可的指定秘书许可证
  • 拥有完整的ICSA资格认证
  • 熟悉并精通2016年《公司法》、马来西亚企业治理准则、企业治理实践以及与公司秘书事宜有关的其他法规、规定和指南
  • 熟悉SSM的规定和法规
  • 积极的工作态度,具有强烈的主动性,具备团队精神,能够在管理层的最少监督下工作
  • 拥有优秀的英语和马来西亚语口语和书写能力
  • 必须能够流利地说普通话。会写普通话将是一个额外的优势。
  • 拥有优秀的客户关系技巧和时间管理能力
  • 了解公司所注册的法规的新旧报告和其他要求的发展和变化
  • 熟练掌握微软办公软件和任何公司秘书软件
  • 精通谷歌应用和智能手机、平板电脑等移动设备的技术,将是一个额外的优势。
